PRINCE WILLIAM COMMUNITY BAND, INC

(INCLUDING AMENDMENTS APPROVED ON FEBRUARY 15, 1999)

THE UNDERSIGNED, PURSUANT TO CHAPTER 10 OF TITLE 13.1 0F THE CODE OF VIRGINIA, STATES AS FOLLOWS:

1. The name of the corporation is Prince William Community Band, Inc.

2. This is a non-stock, non-profit corporation. The purpose of the corporation is to:

l) Perform and participate in a broad range of musical programs to extend an awareness of band music in Prince William County and the local area.

2) Provide an opportunity for members of the community to increase proficiency in the playing of musical instruments.

3) Provide an opportunity for local residents to participate in a quality community band and in various musical activities.

Said corporation is organized exclusively for charitable, educational, and scientific purposes as defined under Section 501(c)(3) of the Internal Revenue Code of 1954 (or corresponding provisions of any future United States Internal Revenue Law).

3. The corporation shall have members. The identification of member classes and the qualifications and rights of each class shall be set forth in the corporation’s bylaws.

4. The directors shall be voting members and shall be elected by the voting members at an annual meeting. Upon resignation, death, etc., the voting members shall elect their successors.

  1. No part of the net earnings of the corporation shall inure to the benefit of, or be distributed to, its members, directors, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Two hereof. No part of the activities of the corporation shall consist of carrying on of propaganda, or otherwise attempting to intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code of 1954 (o! r
  2. corresponding provision of any future United States Internal Revenue Law) or (b) by a corporation, contributions to which are deductible under Section 170(c)(2)of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

  3. Upon dissolution of the corporation, the Board of Directors shall, after paying or making provisions for the payment of all liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purpose of the corporation in such manner, or to such organization(s) operated exclusively for charitable. educational, or scientific purposes as shall at the time qualify as an exempt organization under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provisions of any future United States Law) as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed of by the Court of Common Please of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations as said Court shall determine, which are organized and operated exclusively for such designated purposes.
  4. The corporation’s initial registered office address is 9100 Arboretum, Suite 300, Richmond VA 23235. The registered office is located in the County of Chesterfield.
  5. The name of the corporation’s initial registered agent, whose business office is identical with the above registered office is N. Leslie Saunders, who is a resident of the state of Virginia and a member of the Virginia state bar.
